Agreement to Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legal agreement between you ("User", "Client", "you") and Adroit Tax ("Company", "we", "us", "our"), governing your use of our website, services, and tax preparation software (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.
Adroit Tax is an authorized IRS e-file provider, and our services are subject to IRS regulations, federal and state tax laws, and the terms outlined herein.
Description of Services
Adroit Tax provides online tax preparation and electronic filing services, including but not limited to:
- Preparation of federal and state income tax returns
- Electronic filing of tax returns with the IRS and state tax authorities
- Tax calculation and compliance software
- Customer support and technical assistance
- Document storage and retrieval services
- Refund processing and direct deposit services
Our services are designed to assist in tax preparation and filing but do not constitute professional tax advice. We recommend consulting with a qualified tax professional for complex tax situations.
User Responsibilities and Obligations
Account Registration and Security
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Immediately notify us of any unauthorized use of your account
- Accept responsibility for all activities under your account
- Use strong passwords and enable multi-factor authentication when available
Tax Information Accuracy
You represent and warrant that:
- All tax information provided is true, accurate, and complete
- You have the legal authority to file the tax returns being prepared
- You will maintain records supporting all information provided
- You understand that providing false information may result in penalties
- You are responsible for reviewing your tax return before submission
Form Submission and Processing
You acknowledge and agree that:
- No Automatic Deduplication: Our system processes every form submission independently. We do not automatically detect or prevent duplicate form submissions.
- User Responsibility: You are solely responsible for ensuring that each form submission is unique and accurate before adding it to your cart and completing payment.
- Multiple Submissions: If you submit the same form multiple times (whether intentionally or accidentally), each submission will be processed separately and you will be charged for each submission.
- Form Review Required: You must carefully review all form details, tax year/quarter, entity information, and calculated amounts before submitting payment. Once payment is completed, the form will be queued for e-filing.
- Resubmission Policy: If a form is rejected by the IRS or state tax authority, you may resubmit a corrected version. Standard fees apply to resubmissions.
- No Refunds for Duplicate Submissions: We are not responsible for processing fees resulting from duplicate form submissions. Please verify your cart contents before checkout.
- Form Verification: Before payment, verify that your shopping cart contains only the forms you intend to file. Remove any duplicate or test forms before proceeding to checkout.
Prohibited Uses
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or data
- Interfere with or disrupt our services or servers
- Upload malicious code, viruses, or harmful content
- Share your account access with unauthorized parties
- Reverse engineer, decompile, or attempt to extract source code
- Use automated scripts or bots to access our services
Payment Terms and Fees
Service Fees
Service fees are clearly disclosed before payment and may vary based on:
- Type and complexity of tax return
- Federal and state filing requirements
- Additional services requested
- Premium features or expedited processing
Payment Processing
- Payment is due upon completion of tax return preparation
- We accept major credit cards, debit cards, and ACH transfers
- All payments are processed securely through encrypted channels
- Bank fees for returned payments will be charged to your account
- Refund processing fees may apply as disclosed at time of service
Refund Policy
Service fees may be refunded under the following conditions:
- Technical failure preventing completion of your tax return
- Duplicate charges due to system error
- Service cancellation before tax return submission
- Other circumstances at our sole discretion
Refund requests must be submitted within 30 days of payment and are subject to review.
Intellectual Property Rights
All content, software, trademarks, service marks, and intellectual property associated with our Services are owned by Adroit Tax or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use our Services solely for personal tax preparation purposes. This license does not permit you to:
- Copy, modify, or distribute our software or content
- Create derivative works based on our Services
- Use our trademarks or branding without written permission
- Commercially exploit our Services or content
Data Security and Privacy
Protection of your personal and tax information is paramount. We implement industry-standard security measures including:
- 256-bit SSL encryption for all data transmission
- Secure cloud infrastructure with enterprise-grade protection
- Multi-factor authentication and access controls
- Compliance with IRS Publication 1075 safeguarding requirements
- Regular security audits and vulnerability assessments
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
IRS Compliance and E-File Requirements
As an authorized IRS e-file provider, we comply with all applicable federal regulations including:
- IRS Publication 1345 - Handbook for Authorized IRS e-file Providers
- Treasury Regulation 31 CFR Part 1 - Electronic Filing Requirements
- IRS Publication 1075 - Tax Information Security Guidelines
- Federal Information Security Management Act (FISMA) requirements
You acknowledge that:
- Electronic signatures have the same legal effect as handwritten signatures
- Filed tax returns cannot be amended through our system after IRS acceptance
- You are responsible for maintaining copies of all tax documents
- We may be required to report certain information to tax authorities
Limitation of Liability and Disclaimers
Service Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- ACCURACY OR COMPLETENESS OF TAX CALCULATIONS
- UNINTERRUPTED OR ERROR-FREE SERVICE OPERATION
- COMPATIBILITY WITH ALL DEVICES OR BROWSERS
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- DATA LOSS OR CORRUPTION
- TAX PENALTIES OR INTEREST CHARGES
- THIRD-PARTY CLAIMS OR DAMAGES
Tax Accuracy Disclaimer
While we strive for accuracy, you remain ultimately responsible for the accuracy and completeness of your tax return. We recommend reviewing all information before filing and consulting with a tax professional for complex situations.
Indemnification
You agree to indemnify, defend, and hold harmless Adroit Tax, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) inaccurate or false information provided by you; or (e) your infringement of any third-party rights.
Termination
We may terminate or suspend your access to our Services immediately, without prior notice, for any reason including but not limited to:
- Violation of these Terms or our policies
- Fraudulent or illegal activity
- Non-payment of fees
- Security concerns or account compromise
- Extended period of inactivity
Upon termination, your right to use our Services ceases immediately. We will retain your tax documents and data in accordance with legal requirements and our data retention policy.
Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Arbitration Agreement
You must file any claim related to these Terms or our Services within one (1) year of the date the claim arose. Any claims filed after this period are permanently barred.
General Provisions
Modifications
We reserve the right to modify these Terms at any time by posting the updated Terms on our website. Changes become effective immediately upon posting. Your continued use of our Services constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adroit Tax regarding our Services and supersede all prior or contemporaneous communications.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
